SB 123 - This act permits a corporation to have some or all classes or series of its stock uncertificated. It also extends the appraisal remedy available for corporate mergers and acquisitions to situations where a corporation sells all or substantially all of its corporate assets. The act also modifies language regarding the filing of amendments or restatements of a corporations articles of incorporation with the secretary of state. JASON ZAMKUS
