Current Bill Summary

HCS/SB 844 - This act revises several aspects of corporation laws.

Procedural changes are made relating to the registration of agents of limited liability companies, foreign registered limited liability partnerships, limited partnerships, and corporations. A fee is imposed of not more than $20 for the registration of a change of address for multiple business entities served by a single agent.

Certain foreign limited liability entities are not deemed to be transacting business within the state solely because they are members of a limited liability company.

The reinstatement provisions for corporate registrations upon revocation or administrative dissolution is modified to remove the current 2 year time limitation.

The Secretary of State is permitted to accept electronic filings and credit card payments.
