SCS/SB 12 - This act exempts an issuer of a security from the registration requirements of the Missouri Securities Act of 2003 if the issuer meets certain requirements as described in the act, including that the issuer is a business or organization formed under the laws of this state and that the sum of all cash and other considerations to be received for all sales of the security shall not exceed two million dollars.

The exemption provided by this act shall not be used in conjunction with any other exemption, except for offers and sales to controlling persons of the issuer.

This act is substantially similar to HB 845 (2017).
